Please read these Terms and Conditions carefully before using the Hotlotz Marketplace platform (the "Marketplace"), powered by Shopify.

These Terms and Conditions, along with the important notices, set out the Terms and Conditions on which we offer items for sale on the Marketplace. By using this site or opening a Hotlotz account ("Account"), you agree to these Terms and Conditions and they will become contractually binding on you. They also describe certain limitations and exclusions of liability for Hotlotz Marketplace Pte. Ltd. (UEN 202531742M) and its affiliates and subsidiaries (individually and collectively, "Hotlotz Marketplace", "we", "our" or "us") and the buyer of an item, where applicable.

Please ensure that you have understood all charges, fees and taxes that may be applied to you before you use any of our services.

A. THESE TERMS AND CONDITIONS – BINDING ON YOU

1. These Terms and Conditions set out the terms on which Hotlotz Marketplace offers items for sale on the Marketplace and the buyer purchases any item on the Marketplace (the "buyer", "you", "User").

2. By registering for an Account and/or purchasing an item on the Marketplace, you agree that these Terms and Conditions shall be contractually binding on you.

3. The Marketplace is powered by Shopify, which enables us to provide these services to you. By using the Marketplace, you acknowledge and agree to these Terms and Conditions.

B. GENERAL TERMS AND CONDITIONS

4. Connectivity and technical issues

4.1 Broadband or other internet capacity constraints, corporate firewalls, network latency, synchronisation and other technical problems beyond our reasonable control (or with third party platforms including Shopify) may create difficulties for some users including accessing the Marketplace, maintaining continuity of such access or the functionality of the Marketplace.

4.2 Hotlotz Marketplace will not be responsible to you for errors or failures to execute purchases on the internet or on any mobile device, including errors or failures caused by: (a) any loss of connection; (b) a breakdown or problems with the Marketplace software; and/or (c) a breakdown or problems with any internet connection, computer, mobile device or system.

5. The headings in this document are inserted for convenience only and shall be ignored in construing these Terms and Conditions.

C. PURCHASING ON THE MARKETPLACE

6. General

6.1 Items listed for sale on the Marketplace may be owned by Hotlotz Marketplace or offered on consignment basis from third-party sellers.

6.2 Where items are consigned by third parties, the actual contract for sale is between buyer and seller with Hotlotz Marketplace acting as intermediary. Where items are owned by Hotlotz Marketplace, the contract for sale is directly between the buyer and Hotlotz Marketplace.

7. Before Purchase

7.1 Description of items

(a) Our description of any item, any condition report and any other statement made by us (whether orally or in writing) about any item, including about its nature or condition, artist, period, materials, approximate dimensions or provenance are our opinion and not to be relied on as a statement of fact. We do not carry out in-depth research of the sort carried out by professional historians and scholars. All dimensions and weights are approximate only.

(b) We do not provide any guarantee in relation to the nature of an item beyond statutory requirements.

7.2 Condition

(a) The condition of items can vary widely due to factors such as age, previous damage, restoration, repair and wear and tear. Items are sold "as is", in the condition they are in at the time of the sale, without any representation or warranty or assumption of liability of any kind as to condition by Hotlotz Marketplace or by any third-party seller, except as required by law.

(b) Any reference to condition will not amount to a full description of condition, and images may not show the condition of an item clearly. It is your responsibility to ensure that you have requested, received and considered any condition report.

(c) Hotlotz Marketplace will endeavour, on a best-efforts basis, to facilitate the physical inspection of an item prior to purchase where feasible. It is your responsibility to ensure that you have requested and received any physical inspection.

7.3 Prices

Prices displayed are the "Buy Now" prices and are inclusive of any Singapore GST where applicable. Prices are subject to change without notice. Unless otherwise expressly stated, posted prices do not include shipping, handling, customs or import charges.

7.4 Certain limitations

(a) Certain items such as alcohol may only be sold and delivered to persons over the legal age. By registering to purchase, you confirm that you are at least that age.

(b) Buyers are reminded of the limitations and restrictions imposed by various states and countries regarding the importation of certain items. It is the sole responsibility of the buyer to determine before purchasing whether such items can be shipped to any jurisdiction and to obtain any required permits or licenses.

7.5 Registration

(a) If you have not previously purchased from Hotlotz Marketplace and do not have a Hotlotz Marketplace account, you will need to create a Hotlotz Marketplace account following the instructions provided and provide any required information.

(b) You must be at least 18 years old to register and purchase.

(d) We may, at our option, decline to permit you an account or to complete any purchase.

(e) If in our opinion you do not satisfy our buyer identification and registration procedures, including completing any anti-money laundering checks, we may refuse your purchase or cancel the sale.

8. Making a Purchase

8.1 Purchase Process

(a) When you place an order, you are making an offer to purchase. Hotlotz Marketplace reserves the right to accept or decline your order for any reason at its discretion.

(b) Your order is not accepted until Hotlotz Marketplace confirms acceptance and we must receive and process your payment before your order is accepted.

8.2 Hotlotz Marketplace's Discretion

Hotlotz Marketplace reserves the right, in our absolute discretion: (i) to reject your registration or purchase; (ii) to cancel any sale; (iii) to withdraw any item; and/or (iv) to disable or deactivate your account at any time.

9. After Purchase

9.1 Charges to the buyer

(a) The purchase price for Marketplace items is the Buy Now price as displayed, which is inclusive of Singapore GST where applicable.

(b) The buyer is responsible for all applicable taxes, shipping, delivery and related costs and charges.

9.2 Payment

(a) You must pay the purchase price immediately upon checkout completion.

(b) The purchase price includes:

The Buy Now price for the item
All shipping, delivery and related costs and charges (where displayed at checkout)
Any applicable duties, taxes and GST

(c) Payment must be made in Singapore Dollars (S$) by permitted credit or debit card or other payment methods accepted by the Marketplace.

(d) Payment information is collected and processed directly by Shopify's payment service providers.

(e) No additional payment card service fees are charged.

9.3 Custom Shipping Quotes

In some cases, we may provide a custom shipping quote after initial checkout has been completed. In such instances: (a) We will contact you with the shipping quote (b) You must approve and pay the shipping costs before the item is shipped (c) If you decline the shipping costs, we will refund the purchase price of the item

9.4 What happens if the buyer does not pay

If payment fails or is declined, we may: (a) Cancel the sale (b) Reject any future purchases by you (c) Disable your account (d) Take any other action we deem necessary

9.5 Transferring ownership

Ownership will not pass to you until we have received full, clear payment and confirmed all registration procedures are met.

9.6 Transferring risk

Risk transfers to you immediately upon completion of the payment process, except where custom shipping quotes apply, in which case risk transfers upon your approval of shipping costs.

9.7 Storage

(a) Provided purchases are paid for in full, Hotlotz Marketplace will store your purchased items free of charge for up to 14 days from the date of payment, after which they will be shipped at your expense.

(b) Standard storage charges apply if items are not collected within prescribed time periods.

(c) If any item is not collected after 90 days, title transfers to Hotlotz Marketplace and we may retain, use, sell or dispose of such item at our discretion.

9.8 Transport and shipping

(a) Hotlotz Marketplace will arrange shipping subject to carrier terms and conditions.

(b) The buyer is responsible for all charges, costs, insurance, duties, and taxes relating to delivery.

(d) No returns or price adjustments are accepted for shipping-related issues.

(e) Delivery times are estimates only and are not guaranteed.

D. WARRANTIES AND LIABILITY

10. Buyer's Warranties

10.1 You warrant that the funds used for payment are not connected with any criminal activity, including tax evasion and you are neither under investigation, nor have you been charged with or convicted of money laundering, terrorist activities or other crimes.

10.2 Where purchasing on behalf of another person or entity, you warrant that you have proper authorization and that the funds are from legitimate sources.

11. Disclaimer of Warranties

11.1 To the fullest extent permissible under applicable law, Hotlotz Marketplace disclaims and excludes any and all other warranties of any kind relating to the Marketplace and/or any items, whether express or implied by statute or common law or otherwise.

11.2 We are not responsible to you for any reason to give any representation, warranty or guarantee or assume any liability of any kind in respect of any item with regard to merchantability, fitness for a particular purpose, description, size, quality, condition, attribution, authenticity, rarity, importance, medium, provenance, exhibition history, literature, or historical relevance, except as required by law.

12. Liability and Indemnity

12.1 Hotlotz Marketplace shall have no liability whatsoever for activities that occur under your password, digital signature or Account.

12.2 Hotlotz Marketplace shall have no liability whatsoever for your access or use of, or your inability to access or use, the Marketplace, delays or disruptions, malicious content, errors, or inaccuracies.

12.3 Neither Hotlotz Marketplace nor any third-party seller shall have any liability for any loss of profit, loss of business, loss of anticipated savings, loss of goodwill, loss of revenue, loss of data or any indirect or consequential loss or damage whatsoever.

12.4 You agree to defend, indemnify, and hold harmless Hotlotz Marketplace, its officers, directors, employees and agents, from and against any losses, liabilities, damages, costs and expenses, including reasonable legal fees, incurred in connection with any claims arising from your use of the Marketplace or violation of these Terms.

12.5 Without prejudice to anything else in these Terms and Conditions, if we are found to be liable to you for any reason, our maximum aggregate liability shall be limited to the purchase price paid by you for the relevant item.

12.6 Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be limited or excluded by applicable law.

E. GENERAL PROVISIONS

13. Relationship with Shopify

The Marketplace is powered by Shopify, which enables us to provide services to you. However, any sales are made directly with Hotlotz Marketplace. By using the Marketplace, you acknowledge that Shopify is not responsible for any aspect of sales and you expressly release Shopify and its affiliates from all claims arising from transactions on the Marketplace.

14. Intellectual Property

14.1 All intellectual property rights in the Marketplace, including trademarks, logos, text, images, and content, are owned or controlled by Hotlotz Marketplace.

14.2 You may not reproduce, modify, or create derivative works from the Marketplace without written permission.

14.3 When you provide content or feedback, you grant us a non-exclusive, worldwide, perpetual, royalty-free license to use such content.

15. Privacy and Data Protection

15.1 We will hold and process your personal information as described in our privacy policy.

15.2 Because the Marketplace is hosted by Shopify, certain personal information may be shared with Shopify and processed according to their privacy policy.

15.3 Payment information is collected and processed directly by payment service providers, not by Hotlotz Marketplace.

16. Uncontrollable Events

Neither party will be responsible for failures caused by circumstances beyond reasonable control, including epidemics, strikes, natural disasters, war, or technical problems.

17. Prohibited Uses

You may not use the Marketplace for unlawful purposes, to violate intellectual property rights, transmit malicious code, interfere with operations, or engage in conduct that restricts others' use or exposes us to liability.

18. Termination

We may terminate your access at any time without notice if you violate these Terms. Certain provisions survive termination.

19. Miscellaneous

Severability: Invalid provisions will be severed without affecting other terms
Entire Agreement: These Terms constitute the complete agreement
Assignment: You may not assign your rights; we may assign ours
Waiver: No waiver unless in writing
Third Parties: No third-party rights except as specified

20. Law and Disputes

20.1 If you have a dispute, you release Hotlotz Marketplace from all related claims except as provided in these Terms.

20.2 We encourage resolution through direct contact before litigation.

20.3 These Terms are governed by Singapore law and subject to exclusive jurisdiction of Singapore Courts.

21. Changes to Terms

We reserve the right to update these Terms. Material changes will be notified according to applicable law. Continued use constitutes acceptance of changes.
